PixelSeed – Terms of Service
Effective Date: May 5, 2025
By accessing or using the services offered by PixelSeed, a UI/UX design initiative by iTechnolabs Inc. based in Calgary, Alberta, Canada, you (“Client”, “You”, “Founder”) agree to comply with the following Terms of Service (“Agreement”). These terms govern your use of our design services and define our mutual obligations.
- Scope of Services
PixelSeed provides tailored UI/UX design services and interactive prototypes for early-stage startups. Our process includes requirement gathering, design analysis, iterative UI/UX design, and final prototype delivery. Each project is personalized and non-transferable, ensuring that the design assets are exclusive to your business needs. - Confidentiality and NDA
All information shared with PixelSeed is covered under a Non-Disclosure Agreement (NDA), which becomes effective upon submission of your project details. We are committed to safeguarding your confidential and proprietary data and will not share or misuse any information. A signed copy of the NDA will be sent automatically once you submit your project brief. - Payment Terms
The total cost for each project is $1,999 CAD, exclusive of applicable taxes. Full payment in advance is required before we begin the project. Upon confirmation of payment, we will issue a formal tax invoice. All transactions are conducted in Canadian Dollars (CAD), unless otherwise agreed in writing. - Refund Policy
PixelSeed maintains a strict no-refund policy once project work has commenced. Due to the customized nature of our services and the significant time investment involved, refunds are not applicable. By making payment, you acknowledge and agree to this policy. We recommend that you review all project expectations and deliverables in detail before initiating the process. - Chargebacks and Disputes
Initiating a chargeback without first contacting PixelSeed will be considered a breach of trust and treated as a fraudulent action. If a chargeback is received, we will immediately suspend all services. A non-refundable chargeback recovery fee of $75 CAD will apply. Additionally, you will lose all rights to any design assets delivered up to that point. We reserve the right to pursue legal or collection actions if required. For any billing concerns, we strongly encourage you to contact us directly for resolution before escalating the matter externally. - Intellectual Property and Ownership
Ownership of all design assets and final deliverables is transferred to you only after full payment is received. Until then, PixelSeed retains all rights to the materials created. Once the project is completed and payment is cleared, you will receive a non-exclusive, worldwide, royalty-free license to use the assets for your business. Unless restricted by the NDA, PixelSeed reserves the right to showcase completed work in portfolios or promotional materials. - Project Timelines and Revisions
Each project is typically completed within 2 to 4 weeks, depending on the complexity and clarity of communication. To maintain this timeline, timely feedback from your side is essential. Your package includes up to three rounds of design revisions. Requests beyond the included iterations may incur additional charges, which will be discussed in advance. - Limitation of Liability
PixelSeed’s total liability under this Agreement is limited to the amount paid for the project, which shall not exceed $1,999 CAD. We are not liable for any indirect, incidental, or consequential damages, including loss of business, profit, data, or other intangible losses arising from the use of our services. - Governing Law and Jurisdiction
These Terms shall be governed by the laws of the Province of Alberta and the federal laws of Canada. Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in Calgary, Alberta. - Amendments
PixelSeed reserves the right to update or revise these Terms of Service at any time. Your continued use of our services after any changes indicates your acceptance of the updated terms. We recommend reviewing this page periodically for updates. - Contact Information
